Terms of Service

These terms govern your use of the UniStops apps and related services ("UniStops"), provided by Timevult, LLC ("we", "us").

1. Eligibility and acceptance

You must be at least 18 and able to form a binding contract. By creating an account or using UniStops you agree to these terms and acknowledge our Privacy Policy. If you use UniStops for a business, you confirm you can bind that business.

2. What UniStops is

UniStops helps independent drivers organize parcels from several delivery platforms into one route: importing parcel lists, optimizing stop order, labeling loads and tracking progress. It is a planning tool. It is not a delivery platform, and it is not affiliated with UniUni, GOFO, SwiftX, SpeedX, Yanwen or any other platform.

3. Your responsibilities

• Only import data you are allowed to access — for example, lists you export, copy or screenshot from your own platform accounts.
• Use recipients' personal information only to deliver their parcels, keep it confidential, and follow the privacy laws that apply to you.
• Confirm deliveries, failed attempts and returns in each delivery platform's own app. Marking a parcel in UniStops does not report it to the platform.
• Follow each platform's rules, your agreements with them, and all traffic and privacy laws. Do not use UniStops while driving in a way that distracts you.
• Keep your sign-in secure. You are responsible for activity on your account.
• If you invite others to work under a delivery team you captain, you confirm that you are entitled to import the data you bring into it, that you have told everyone who works under that team — including anyone who does not use the app — what is recorded about their work, and that you act as the controller of your team's data (see our Privacy Policy).

4. Things you may not do

• Use UniStops to access platform accounts that are not yours, to scrape or reverse-engineer platforms, or to automate actions inside their apps.
• Misuse recipients' personal information, or use it for anything other than delivering their parcels.
• Present a UniStops record as if it were a delivery platform's own confirmation — it isn't one; a delivery platform only recognizes a confirmation made in its own official app.
• Interfere with, overload or attempt to break into UniStops.

5. Teams

A captain can invite other drivers to work under a delivery team inside UniStops. Records created inside a team — the roster, assignments, loading and delivery records, dispatch sheets and day-close totals — belong to that team and to the captain who invited you, not to you alone; the captain is the controller of that data and UniStops processes it on the captain's behalf, within the limits our Privacy Policy states. A captain may only import data they are entitled to access — a manual export, copy or screenshot of their own platform screens. In line with Section 4: UniStops never accesses a platform account on a captain's behalf, never scrapes or reverse-engineers a platform, and never automates a proof-of-delivery submission — delivery is always confirmed in the platform's own official app. A UniStops record is our own internal record, not a record kept or recognized by any delivery platform. A driver deleting their own account does not erase the team's record of the work that driver did. If a captain deletes their team, that permanently deletes the team's records for everyone who worked in it, with no undo and no copy kept by us; a driver who wants a copy of a day's work should export it while the team still exists.

6. Routes and estimates

Routes, drive times, cutoff warnings and addresses on the map are estimates. Road conditions, platform instructions and your judgment always come first.

7. Your data

You keep ownership of the data you import. You give us permission to process it only to provide UniStops to you, as described in our Privacy Policy, including how long different kinds of personal and team records are kept.

8. Changes to these terms

We may update these terms. For material changes we will notify you in the app at least 30 days before they take effect, except where a change is required by law or addresses security. If you do not agree, stop using UniStops and delete your account; continuing to use it after the effective date means you accept the updated terms.

9. Termination

You may stop using UniStops and delete your account at any time (Me → Delete account). We may suspend or end your access if you break these terms, create risk or legal exposure for us or others, or if we discontinue the service; where reasonable we will give notice. Sections on your data, disclaimers, limits of liability, indemnity, governing law and general terms survive termination.

10. Disclaimers and limits of liability

UniStops is provided "as is" and "as available," without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law. To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, platform penalties, fines, or late or missed deliveries. Our total liability for any claim relating to UniStops is limited to the greater of the amount you paid us in the 12 months before the claim or US$50. These limits do not apply to liability that cannot be limited under applicable law, including for fraud, willful injury or gross negligence. Some jurisdictions do not allow certain limits, so some of these may not apply to you.

11. Indemnity

If you use UniStops for business purposes, you agree to defend and indemnify Timevult, LLC against third-party claims arising from data you import without authorization, your misuse of recipients' personal information, or your violation of a platform's rules or of these terms.

12. Trademarks

UniUni, GOFO, SwiftX, SpeedX, Yanwen and other platform names are trademarks of their respective owners. UniStops uses them only to identify the platforms it is compatible with. This does not imply any affiliation with, sponsorship by, or endorsement from those companies.

13. Governing law and venue

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small claims court. Nothing here limits rights you have as a consumer under the laws where you live that cannot be waived by contract.

14. Apple App Store terms

If you downloaded UniStops from the Apple App Store: these terms are between you and Timevult, LLC, not Apple. Apple has no obligation to provide maintenance or support. If the app fails to conform to any applicable warranty, you may notify Apple for a refund of any purchase price, and Apple has no other warranty obligation. Apple is not responsible for any product liability, legal compliance or intellectual-property claims relating to the app. You confirm you are not located in a US-embargoed country or on a US government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

15. General

These terms and the Privacy Policy are the entire agreement between you and us about UniStops. If any provision is found unenforceable, the rest remain in effect and that provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be given in the app or by email; notices to us go to ops@unistops.com. If the English and Chinese versions conflict, the English version controls.
